In the Companies Act “director” includes any person occupying the position of director, by whatever name called. They are basically the people who act only within their powers and use their powers only for purposes which benefit the organisation.

Secretary Description

Officer appointed by the directors as responsible for ensuring that firm’s legal obligations under the corporate legislation are complied with. As per companies act, a private company is not required to have a company secretary .

Shareholder Description

One who owns shares of stock in a corporation or mutual fund. For corporations, along with the ownership comes a right to declared dividends and the right to vote on certain company matters, including the board of directors. also called stockholder.
